Terms & Conditions for OLTEP Learning Module

(Effective as from 15 April 2025). 

These terms and conditions (“Terms”) govern access to the OLTEP Learning Module managed by Oxford University Innovation Limited (Company No. 2199542) whose registered office is at University Offices, Wellington Square, Oxford OX1 2JD, England (“OUI”). Access to the OLTEP Learning Module is provided for use by businesses and individuals as part of their business or profession and not by consumers for purposes which are outside of their trade, business or profession. 

1. DEFINITIONS

1.1 “IPR” means any and all know-how, and all intellectual and industrial property rights, whether capable of registration or not and whether registered or not.

1.2 “OLTEP Learning Module” means any online programme of learning activities outlined on the Website which the Training Participant will undertake.

1.3 “OLTEP Materials” means the structure, design and content of the OLTEP Learning Module and any materials recording the same (in any form or media), the module handbook and any other documents, papers or materials provided to the Training Participant as part of the OLTEP Learning Module.

1.4 “OLTEP Support” means [email protected].

1.5 “OLTEP VLE” means the virtual learning environment providing online access to the OLTEP Learning Module.

1.6 “Training Participant” means the individual purchasing access to the OLTEP Learning Module via the OLTEP VLE. 

1.7 “University” means the Chancellor, Masters and Scholars of the University of Oxford.

1.8 “Website” means https://www.oltep.ox.ac.uk/. 

2. PROVISION OF THE LEARNING MODULE

2.1 A description of the OLTEP Learning Module together with the dates on which the OLTEP Learning Module will begin are available on the Website. OUI will provide the OLTEP Learning Module with reasonable care and skill in accordance with the description set out on the Website.

2.2 OUI reserves the right to vary or withdraw any of the OLTEP Learning Modules described on the Website without notice.

2.3 It is up to the Training Participant to ensure that the OLTEP Learning Module they are purchasing will meet their needs. OUI does not make any guarantee that the Training Participant will obtain a particular result, professional qualification or employment opportunity from their purchase and completion of an OLTEP Learning Module.

3. ACCESS TO THE LEARNING MODULE

3.1 The Training Participant will place an order to purchase an OLTEP Learning Module via the Website.

3.2 When a Training Participant purchases an OLTEP Learning Module, they are purchasing access to the OLTEP Learning Module on these Terms. 

3.3 A legally binding agreement between OUI and the Training Participant shall come into existence when OUI has received payment of the relevant Fees from the Training Participant in accordance with clause 5 below. 

3.4 The Training Participant shall inform OLTEP Support about any changes to the Training Participant’s contact email address in order to keep receiving email communication relating to the OLTEP Learning Module purchased by the Training Participant.

4. CANCELLATION AND VARIATION

4.1 Subject to clause 4.2 below, where there is a legally binding agreement between OUI and the Training Participant in accordance with clause 3.3 above, then the Training Participant is permitted within 14 days starting on the day after the date OUI have received the Fees to cancel the purchase of the OLTEP Learning Module by email to OLTEP Support.

4.2 If the Training Participant has purchased an OLTEP Learning Module and has already accessed, downloaded or otherwise received all or part of the OLTEP Learning Module and/or started to use that OLTEP Learning Module (except for the OLTEP Learning Module welcome page) then the Training Participant shall have no right to cancel their order.

4.3 Notwithstanding clause 4.1, there is no other right to cancel or vary the purchase of an OLTEP Learning Module and any other cancellation and/or variation of course dates by the Training Participant will be at the entire discretion of OUI.

5. FEES

5.1 The Fees for the OLTEP Learning Module are as set out on the Website at the time the Training Participant places an order for them. 

5.2 The Fees are inclusive of VAT or other local taxes.

5.3 Fees must be paid in full prior to the Training Participant accessing any OLTEP Learning Module.

5.4 The Training Participant shall be responsible for all costs they incur in connection with their access to any OLTEP Learning Module.

6. OWNERSHIP OF COURSE MATERIALS

6.1 All copyright and IPR in the OLTEP Materials belong exclusively to OUI or its licensors. 

6.2 The Training Participant is granted a limited non-exclusive licence to use the OLTEP Materials only for the purpose of accessing and benefitting from the OLTEP Learning Module via the OLTEP VLE only, on and subject to the following conditions:

6.2.1 the licence granted excludes the taking of video or audio recordings of the OLTEP Learning Module without OUI’s express consent;

6.2.2 the Training Participant must not edit, adapt, or alter any of the OLTEP Materials; 

6.2.3 the OLTEP Materials may only accessed by the Training Participant on or through the OLTEP VLE; and 

6.2.4 the OLTEP Materials may be used for the Training Participant’s own professional development purposes only and must not be shared with anyone or published in the public domain by the Training Participant; 

6.3 Breach by the Training Participant of this clause 6.2 shall entitle OUI to immediately terminate the agreement with the Training Participant and cease to provide access to the OLTEP Learning Module.

6.4 Except in relation to the limited licence granted in relation to the OLTEP Materials, the Training Participant shall not acquire any rights in any materials, information, know-how, tools, models, methodologies, techniques and/or IPR owned by OUI or the University or that are licensed to OUI or the University by any third party.

7. LIABILITY

7.1 All warranties, representations, terms, conditions and undertakings on OUI’s part, whether implied by statute, common law, custom, trade usage, course of dealing or otherwise (including any implied warranty, representation, term, condition or undertaking of satisfactory quality or fitness for a particular purpose) are excluded by OUI to the fullest extent allowed by law. In particular, OUI makes no representation and gives no warranty that it is the owner or licensee of intellectual property rights.

7.2 Except in respect of fraud or death or personal injury caused by the negligence of OUI, OUI shall not be liable, for any indirect or consequential loss, or for any loss of business, profit, revenue, opportunity, goodwill or data, arising from information or material provided by OUI (whether that loss is direct or indirect). The entire liability of OUI to a Training Participant under or in connection with the OLTEP Learning Module shall not exceed the sum of the fee paid by that Training Participant.

7.3 Except in the case of fraud or wilful misconduct, the Training Participant will not make any claim against any employee, student, or appointee of OUI or of the University, which seeks to enforce against any of them any liability in connection with this Agreement or its subject matter. 

7.4 The Training Participant may not make a claim against OUI for any breach of this Agreement (including in respect of negligence under this Agreement) more than two years after the termination (or expiry) of this Agreement. This clause shall not affect any claim that OUI has received before the expiry of the stated time limit.

7.5 The Training Participant agrees to fully to indemnify, defend and hold OUI, and its officers, directors, employees, agents and suppliers, harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of clause 6.2 of these Terms or any other liabilities arising out of the Training Participant’s use of the Website or access to the OLTEP Learning Modules.

7.6 OUI reserves the right to modify or withdraw, temporarily or permanently, the Website (or any part thereof) with or without notice and the Training Participant confirms that OUI shall not be liable to them or any third party for any modification to or withdrawal of the Website; and/or change these Terms from time to time, and the continued use of the Website (or any part thereof) following such change shall be deemed to be the Training Participants acceptance of such change. It is your responsibility to check regularly to determine whether the Terms have been changed. If you do not agree to any change to the Terms then you must immediately stop using the Website.

8. DATA PROTECTION AND PRIVACY

8.1 OUI wants to protect the privacy of Training Participants. Please read our Privacy Policy – it will help you to understand how OUI will use your personal data.

9. GENERAL

9.1 Use of Names: The Training Participant will not use the name or trademark of OUI, the University or OLTEP without OUI’s prior written approval. For the avoidance of doubt, this does not exclude the Training Participant publicly using OLTEP or the Oxford LawTech Education Programme and the names of academics delivering the OLTEP Learning Module on social media.

9.2 Delay: No delay, neglect, or failure by OUI in enforcing any of these Terms will be, or be deemed to be, a waiver of OUI’s rights.

9.3 Severability: If any of these Terms is (for any reason) held to be unenforceable, illegal or in some other way invalid, the unenforceable, illegal or invalid provision will not affect the remainder of these Terms; and they will continue in full force and effect.

9.4 Applicable Law: These Terms and conditions shall be governed by the laws of England and Wales and the parties irrevocably submit to the exclusive jurisdiction of the courts of England.
